목요일(2월 23일) 하이브가 SM엔터테인먼트의 최대주주가 됐다. 같은 날 SM엔터테인먼트의 지분을 카카오에 팔 수 없게 하려고 제기된 가처분 신청에 대한 심리도 열렸다.

In the HYBE deal, the agency behind BTS and NewJeans bought 14.8 percent of SM Entertainment, the agency of boy band NCT and girl group aespa, from founder Lee Soo-man for 422.8 billion won ($323.4 million).

BTS와 뉴진스의 소속사인 하이브는 남성 아이돌 그룹 NCT와 걸그룹 에스파 소속사인 SM엔터테인먼트의 지분 14.8%를 창업자 이수만으로부터 4228억원에 사들였다.

The transaction was completed 12 days earlier than the March 6 closing date announced when the two companies first signed the contract on Feb. 10.

이 거래는 두 회사가 지난 2월 10일 계약서에 처음 사인하면서 발표했던 마감일인 3월 6일보다 12일 빨리 완료됐다.

This makes HYBE the largest shareholder and Lee the fourth-largest with 3.65 percent. The second largest is the National Pension Service with an 8.96-percent share as of last September and KB Asset Management with 5.12 percent.

이로써 하이브는 최대 주주가 됐고, 이수만은 3.65%의 지분으로 네 번째 주주가 됐다. 국민연금이 지난해 9월 기준 지분 8.96%로 2대 주주이고, KB자산운용이 5.12%를 소유하고 있다.

“We are aware of the concerns and worries that fans, artists, staff and shareholders of SM Entertainment have due to the talks surrounding the company,” HYBE CEO Park Ji-won said in a press release. “We are especially regretful of the concerns that the artists of SM Entertainment would have been filled with. But HYBE will respect the artists at SM just as we respect and cherish the artists at HYBE as a management company.”

박지원 하이브 CEO는 "최근 회사를 둘러싼 구설들로 SM엔터테인먼트의 팬, 아티스트, 구성원 및 주주 여러분들이 불안과 우려를 갖고 계실 것으로 생각됩니다"라며 "특히, SM엔터테인먼트 소속 아티스트 분들에게는 심려를 끼친 점에 대해 유감을 표합니다. 하지만 하이브가 매니지먼트 컴퍼니로서 당사 아티스트를 존중하고 아끼듯이 SM 아티스트 분들을 존중하고 배려하는 자세로 임할 것입니다"라고 말했다.

Park reiterated that its takeover of SM Entertainment is not “hostile” but a good thing for both parties that will make the combined team comparable to the three largest music companies in the world — Universal Music, Warner Music and Sony Music.

박지원 CEO는 SM 인수가 적대적인 것이 아니라 두 회사가 합쳐서 세계 3대 메이저 음악회사들인 유니버설뮤직그룹·소니뮤직·워너뮤직과 어깨를 나란히 하는 최고의 기업을 만들어 보자고는 것이라고 거듭 강조했다.

“This is a time of grave importance for both companies,” Park continued. “We hope that the confusion, aggravated by some imprudent managers and short-term business choices, will not continue for long.”

박 CEO는 “지금은 양사 모두에게 중요한 변화의 시기”라며 “사업 방향에 영향을 주는 단기적인 의사결정이나 일부 경영진의 섣부른 판단과 행동으로 혼란이 지속되지 않기를 바란다”고 말했다.

HYBE’s tender offer to buy more shares of SM Entertainment at 120,000 won per stock will be valid until March 1. The company also announced on Tuesday that it is willing to work together with Kakao “based on the assumption that Kakao does not have interests in the business management” of SM Entertainment.

SM엔터테인먼트 주식을 주당 12만원에 공개매입하겠다는 하이브의 제안은 3월 1일까지 유효할 것이다. 이 회사는 또 화요일(2월 21일)에 “카카오가 경영에 참여하지 않는다는 전제 하에” 카카오와 기꺼이 협력할 의사가 있다고 밝혔다.

Kakao signed a deal to buy 9.05 percent of newlyissued SM Entertainment stock and convertible bonds for 217.2 billion won to become the secondlargest shareholder earlier this month. Founder Lee immediately challenged the deal as illegal and filed for an injunction from a court.

카카오는 2172억원 규모의 SM엔터테인먼트 신주와 전환사채를 통해 지분 9.05%를 매입해 2대 주주가 되는 계약서에 2월 초 사인했다. 이수만 창업자는 즉시 이 거래가 불법이라며 법원에 가처분 신청을 했다.

According to Lee’s attorney, SM Entertainment’s board violated the Article 418 of the Commercial Act, which states that a company must fully explain why it is necessary to issue new stock instead of selling existing shares. The board’s argument is insufficient and is a breach of interest between the original major shareholder, founder Lee, and another company seeking to buy the agency, his attorney from law firm Yoon & Yang said during Thursday’s hearing.

이수만 측 변호사는 SM엔터테인먼트 이사회는 상법 418조, 회사는 현재 주식 매각 대신 새로운 주식을 발행하는 게 왜 필요한지에 대해 충분히 설명해야만 한다는 조항을 위반했다고 주장했다. 이사회의 주장은 충분치 않았고 주요 주주인 이수만 창업자와 회사를 사려는 다른 회사 사이의 이해충돌이 있다고 법무법인 화우의 변호사가 목요일 열린 심리에서 주장했다.

Lawyers from Lee & Ko argued that the effort to break away from an abnormal dependence on a single producer, founder Lee, should not be interpreted as excluding him but a “decision made for the interest of all shareholders.” Lee Soo-man "is trying to fend off the deal with an unfair means,” the attorney said.

법무법인 광장 변호사는 이수만 개인에 대한 비정상적인 의존으로부터 벗어나기 위한 노력은 그를 제외하려는 것이 아니라 “모든 주주들의 이익을 위한 결정으로 해석돼야 한다”며 이수만이 “부당한 방법으로 거래를 저지하려는 특수한 상황”이라고 말했다.

The court demanded each party submit additional data to back their arguments. No date was set for the ruling.

법원은 양측에 그들의 주장을 뒷받침할 수 있는 추가 자료를 제출할 것으로 요구했다. 판결 일자는 정해지지 않았다.
